IMPORTANT NOTICES
READ THIS AGREEMENT CAREFULLY. By registering for an account or using the Serenity Vet Platform, you agree to be bound by this Agreement.
ARBITRATION AND DISPUTE RESOLUTION. Disputes between you and Serenity Vet will be resolved through binding individual arbitration under the Arbitration Act (New Brunswick), as outlined in Section 7. You waive the right to participate in any class or representative proceeding, subject to the limited exceptions in Section 7.
PROFESSIONALS ARE INDEPENDENT CONTRACTORS. Nothing in this Agreement creates any employment, agency, joint-venture, partnership, or worker relationship between any Practice and any Professional. See Section 22.
1. Agreement to and Acceptance of User Agreement
Serenity Vet Inc. (“Serenity Vet,” “we,” “us,” or “our”) provides access to its website, mobile application, and related technology platform (collectively, the “Serenity Vet Platform”), together with all information, content, and services available through the Platform (collectively, the “Services”). The Services are made available under the terms and conditions of this User Agreement (the “Agreement”). By registering for an account or accessing the Platform, you (“User”) agree to be bound by this legally binding Agreement.
If you are registering on behalf of an organization or another individual, you represent and warrant that (a) you have the authority to bind that entity or individual to this Agreement, and (b) you and the User you represent have completed all required registration procedures.
By completing account registration, logging into the Platform, or otherwise using any part of the Serenity Vet Platform or Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you are not authorized to access or use the Serenity Vet Platform or Services.
2. Amendments to This User Agreement
Serenity Vet may update or amend this User Agreement from time to time, with changes taking effect on a prospective basis. Each time you log into the Platform, a link to the current version of this Agreement will be available. Completing the login process constitutes your acceptance of any amendments made since your last acceptance. It is your responsibility to review the Agreement each time you log in.
Serenity Vet may, in its discretion, provide notice of any amendments by email, text message, or other communication. Such notices may summarize the changes, but any failure to provide notice, or any inaccuracy in the notification, will not affect the validity or enforceability of the amended terms.
If you do not agree with any amendment, you must immediately stop accessing and using the Platform and Services. Continued use after the effective date of an amendment constitutes acceptance of the amended Agreement.
3. Description of the Serenity Vet Platform and Services
The Serenity Vet Platform is a digital marketplace that connects licensed veterinarians and other qualified veterinary professionals (“Professionals”) with veterinary hospitals, clinics, and other facilities engaged in the practice of veterinary medicine (“Practices”). Practices use the Platform to engage Professionals on a contract basis to provide temporary services (“Veterinary Services”) during specified time periods (“Shifts”). Professionals and Practices are each a “User” and collectively “Users.” The Platform and Services are intended solely for professional use by licensed veterinarians, qualified veterinary professionals, and businesses lawfully engaged in the practice of veterinary medicine.
The Platform allows Practices to post available Shifts and Professionals to offer their services for those Shifts. Practices then select from Professionals who have offered their services. A Professional’s decision to offer services for a Shift is entirely at their discretion, and a Practice’s decision to accept an offer is made solely at the Practice’s discretion. Serenity Vet provides the marketplace but is not responsible for any Veterinary Services performed or arranged through the Platform. By accepting this Agreement, both Professionals and Practices agree to indemnify and hold Serenity Vet harmless from any third-party claims arising from the performance or arrangement of Veterinary Services.
Serenity Vet may, at its discretion, offer additional Services or modify the Platform, Content, and Services. Serenity Vet also reserves the right to discontinue, suspend, or cancel the Platform, Services, or Content, generally or with respect to specific Users, with or without notice, and will not be liable for any such change, suspension, or discontinuation. You acknowledge that you are not relying on any statements or expectations regarding future features or functionality.
If Serenity Vet provides trial, free, or beta versions of the Platform, Services, Content, or components (“Beta Services”), such Beta Services are provided on an “AS IS” basis, with all faults, solely for testing or evaluation purposes. Serenity Vet assumes no liability for their use. Access to Beta Services may be terminated at any time in Serenity Vet’s discretion. Additional terms regarding Beta Services may be provided on the Platform and are incorporated by reference.
4. Registration and Login
Access to the Platform is limited to Users who complete the registration process, expressly accept this Agreement, and meet the applicable requirements set by Serenity Vet or by law to participate as a Professional or a Practice. Serenity Vet may, in its sole discretion, refuse access, deny registration, or deactivate or suspend an existing account at any time, including where a User has previously had an account suspended or terminated.
During registration you will create a username and password (collectively, “Password”) to access your account. You agree to keep your Password confidential and are solely responsible for its confidentiality and for all activity that occurs under your account. Notify Serenity Vet immediately of any suspected unauthorized use and cooperate fully in resolving the matter.
Failure to comply with this section may result in suspension or termination of your account. Serenity Vet is not liable for any unauthorized access to your account resulting from your failure to protect your Password.
Each User may create and maintain only one account. Serenity Vet may deactivate any duplicate or additional accounts without notice.
5. Accuracy of Information Provided
You will be required to provide information and documents in connection with registration and use of the Services, including identity verification, professional licensing information, and payment details. You represent, warrant, and agree that:
(a) All information you provide during registration, through the Platform, or in connection with the Services will be accurate, current, complete, and truthful.
(b) All documents and materials you submit will be accurate, current, complete, and truthful.
(c) You will maintain and promptly update all registration data, profile information, documents, and materials so they remain accurate, current, and complete at all times.
Without limiting the foregoing: (i) if you register as a Professional, you are the individual identified and have provided your full and accurate legal name; (ii) if you register as a Practice operated by an individual (e.g., a solo practitioner), you have accurately provided the full legal name of that individual; (iii) if you register as a Practice that is an organization, you have provided the organization’s full legal name and nature and are authorized to act on its behalf and bind it to this Agreement.
Serenity Vet may, at its discretion, conduct background checks, credit checks, or other investigations into your criminal, professional, or financial history, and you authorize Serenity Vet to do so and to obtain such records.
If Serenity Vet determines that any information you provide is inaccurate, incomplete, outdated, or false, or if any background check result is unsatisfactory in Serenity Vet’s sole discretion, Serenity Vet may suspend or terminate your access and deactivate your account.
6. Privacy Policy
Information you provide to Serenity Vet through the Platform or Services (“Your Data”) is handled in accordance with Serenity Vet’s Privacy Policy, which is incorporated into this Agreement by reference. By using the Platform and Services, you agree to the Privacy Policy.
You grant Serenity Vet a worldwide, non-exclusive, limited licence to use Your Data to perform, maintain, support, and improve the Services, and for any other purpose authorized under this Agreement. You represent and warrant that you have all necessary rights and consents to grant this licence.
Serenity Vet may use Your Data, or data derived from Your Data or your use of the Platform, in aggregated or de-identified form, combined with data from third parties or otherwise, for purposes not prohibited by applicable law, including the Personal Information Protection and Electronic Documents Act (Canada) (“PIPEDA”) and applicable provincial privacy legislation. Serenity Vet will not disclose aggregated or de-identified data to third parties (except those acting on Serenity Vet’s behalf) unless it is not reasonably possible for such third parties to identify you from the data.
Upon termination of this Agreement, the licence you grant Serenity Vet for Your Data terminates unless otherwise permitted by you. You represent and warrant that you own all rights to Your Data or hold the necessary licences to grant the rights described in this section.

7. Dispute Resolution and Arbitration
Any claim, controversy, cause of action, or dispute (each a “Claim”) arising out of or relating to this Agreement, the Platform, Services, or Content shall be resolved through binding arbitration by a single impartial arbitrator, seated in Saint John, New Brunswick, Canada, administered under the Arbitration Act, S.N.B. 2014, c. 100. The arbitrator will be selected by mutual agreement of the parties; if the parties cannot agree within thirty (30) days, the arbitrator will be appointed in accordance with the Arbitration Act. The arbitration will be conducted in English.
Notwithstanding the foregoing, each party retains the right to (a) bring an individual action in the Small Claims Court of New Brunswick and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
Waiver of Jury Trial. To the extent permitted by applicable law, each party irrevocably waives the right to a jury trial in any proceeding arising out of or relating to this Agreement.
Class Action Waiver. To the extent permitted by applicable law, neither party consents to arbitration on a class or representative basis. The arbitrator has no authority to conduct any class or representative arbitration. No arbitration will be consolidated with any other arbitration without the consent of all parties.
Indemnification Claims. If Serenity Vet asserts an indemnification claim related to a third-party action filed in another forum, Serenity Vet may assert such indemnification claim in the same forum as the underlying third-party action. Both parties agree that resolving the indemnification claim in the same proceeding serves the interests of both parties and promotes judicial economy.
8. Performance of Veterinary Services During Shifts
If you are a Professional performing Veterinary Services through the Platform, you represent, warrant, covenant, and agree to the following:
Licensing. If you indicate through the Platform that you are a licensed veterinarian or veterinary professional, you confirm that you are duly licensed, as represented, by the appropriate governmental or regulatory authority in the jurisdiction where the Veterinary Services are performed.
Qualifications and Credentials. You possess all qualifications, credentials, and certifications you represent through the Platform (including those in your profile or communications with the Practice). All information, documents, and materials you provide to the Practice are accurate, current, complete, and truthful. You will promptly update your profile, qualifications, credentials, and related information as necessary.
Performance of Services. You will perform Veterinary Services professionally, competently, and in a timely manner, following all applicable laws, regulations, industry best practices, and professional standards. You will arrive on time and perform the Veterinary Services for the full duration of the Shift unless otherwise agreed through the Platform.
Payment and Compensation. You will not demand, request, or accept payment or compensation from any Practice outside transactions completed through the Platform. You will not alter the scope, nature, or duration of Veterinary Services except through transactions finalized on the Platform.
Taxes and Legal Compliance. You are responsible for paying all applicable federal, provincial, state, and local taxes related to your provision of Veterinary Services and any payments received. You agree to provide Serenity Vet with a valid HST/GST registration number (in Canada) or an executed Form W-9 (in the United States), or other tax documentation, if requested. Serenity Vet will report compensation as required by applicable law but is not responsible for withholding or remitting taxes on your behalf.
Liability Insurance. If you represent that you maintain professional liability insurance, you confirm that the policy is valid, meets all applicable legal requirements, and covers your performance of Veterinary Services.
If you fail to perform in compliance with this Agreement (e.g., by not arriving on time or not completing the Shift), Serenity Vet may suspend or terminate your access and may reduce or withhold Shift Compensation to the extent permitted by law.
9. Payment of Shift Compensation to Professionals
Subject to this Agreement, you, as a Professional, are entitled to receive Shift Compensation for each Shift you complete. Serenity Vet acts as a pass-through entity, facilitating the transfer of payment from the Practice to you through the Serenity Vet Platform. For clarity, Serenity Vet does not retain the Shift Compensation as its own income; Serenity Vet’s compensation for services is the Shift Fee and Third Party Fees paid by the Practice under Section 10. Payments will be made via direct deposit or e-transfer using the banking information you provide through the Platform.
If the banking information you provide is incorrect, incomplete, or not kept up to date, payments may be misdirected or delayed. Payments may take several days to become available after processing; consult with your banking institution regarding any delays. Serenity Vet’s responsibility is limited to processing and forwarding Shift Compensation as directed by the Practice.
The “Shift Compensation” is the amount or rate agreed upon by you and the Practice at the time the Shift is confirmed. Serenity Vet may adjust or withhold all or part of your Shift Compensation or other payments under the following circumstances:
(i) If Serenity Vet reasonably believes that you have attempted to defraud or abuse the Practice, Serenity Vet, or Serenity Vet’s payment systems.
(ii) To resolve a complaint from the Practice, such as an allegation that you failed to perform the Veterinary Services in accordance with this Agreement or the Shift terms.
Serenity Vet will exercise this discretion reasonably and will make reasonable efforts to ensure that Shift Compensation is processed and paid on a regular basis as specified on the Platform. No interest will accrue on payments owed to you, and Serenity Vet may withhold amounts as required by law. You authorize Serenity Vet to withhold any such amounts.
10. Payment of Compensation to Serenity Vet (Practices only)
In exchange for use of the Platform and Serenity Vet’s services, each Practice agrees that Serenity Vet is entitled to receive a service fee (the “Shift Fee”) for each Shift in which a Professional is matched with the Practice through the Platform. The Shift Fee will be either a specified amount or an amount determined based on information provided by the Professional and the Practice prior to Shift confirmation, and will be displayed on the Platform at the time the Shift is accepted.
In addition to the Shift Fee, Serenity Vet is entitled to be reimbursed for any third-party charges (including payment processing fees) incurred in connection with a Shift (“Third Party Fees”). Serenity Vet may determine and modify pricing, including Shift Fees and Third Party Fees, by posting applicable pricing terms on the Platform or quoting a specific rate at the time a Shift is requested. It is your responsibility to review the applicable pricing terms. You will be responsible for all charges incurred under your account, whether or not you were aware of them.
You expressly authorize Serenity Vet’s payment service provider, Stripe, Inc. (“Stripe”), to initiate credit transfers to and from your financial institution as necessary for payment processing.
For each Shift, the Practice agrees to pay the following amounts to Serenity Vet:
(a) the full compensation payable to the Professional for completing the Shift (the “Shift Cost”), including the Shift Compensation and any applicable taxes;
(b) the Shift Fee for the Shift; and
(c) any applicable Third Party Fees.
All payments are made by the Practice to Serenity Vet. Serenity Vet then remits the Shift Compensation to the Professional, net of any amount properly withheld under Section 9. For the avoidance of doubt, the Practice’s payment obligation for Veterinary Services runs to Serenity Vet, not to the Professional; Serenity Vet is the sole payment counterparty of both the Practice and the Professional for each Shift.
All payments are made in accordance with Section 11 (Payment Methods). Each Practice acknowledges that maintaining a valid payment mechanism on the Platform is a prerequisite for using the Platform.
Serenity Vet may introduce new fees or modify existing fees at any time and will provide notice of any material changes.
11. Payment Methods (Practices only)
Each Practice may provide a valid credit card, debit card, prepaid charge card, or other Serenity Vet-approved payment mechanism through the Platform for payments owed under this Agreement. Maintaining a current and valid payment mechanism is a precondition of using the Platform.
You authorize Serenity Vet to charge all amounts payable under this Agreement using the payment mechanism on file. If any payment cannot be processed using that mechanism, you agree to make immediate payment upon Serenity Vet’s request by ACH transfer, wire transfer, e-transfer, or another payment method required by Serenity Vet.
When adding a new payment method, Serenity Vet may seek authorization to verify validity and coverage. This authorization is not a charge but may temporarily reduce available credit until your bank processes the transaction. If the authorization amount exceeds available funds, your issuing bank may impose overdraft or NSF charges. Serenity Vet is not responsible for these charges and cannot assist you in recovering them.
Where expressly authorized by Serenity Vet or this Agreement, Serenity Vet may invoice you under the following terms:
(a) each invoice is due and payable within sixty (60) days (or the different period specified) of the invoice date;
(b) any outstanding balance not paid by the due date will accrue interest at 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower) from the due date until paid in full; and
(c) you agree to pay all costs of collection, including reasonable legal fees.
12. Ownership of the Serenity Vet Platform and Content
Except for Your User-Generated Content (as defined below), Serenity Vet retains sole ownership of the Platform, including all software components, the Services, and all information, text, software, data, photographs, music, video, messages, tags, and other content available through the Platform or Services (collectively, the “Content”), including all associated intellectual property rights. You hereby assign, transfer, and convey to Serenity Vet any rights you may acquire in the Content.
The Platform and Content are protected by intellectual property laws, including copyright and trademark laws. Any use of Serenity Vet’s name, logos, or trademarks must be expressly authorized in writing (email authorization is acceptable) and solely for Serenity Vet’s benefit. Except as expressly permitted, you agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Platform or Content, in whole or in part.
You agree not to hack, crack, or otherwise attempt to gain unauthorized access to any portion of the Platform that is not publicly available to registered users. Serenity Vet may use security components, including digital watermark technology, to protect its Content, and you agree to comply with any usage guidelines established by Serenity Vet or its content providers. You will not attempt to circumvent any security features.
User-Generated Content. The Platform may contain information, text, software, data, photographs, music, video, messages, tags, and other content submitted by Users or third parties (“User-Generated Content”), including profile information, performance ratings or reviews, survey responses, forum postings, message board posts, comments, and feedback. You acknowledge that:
(i) you own or have the necessary licences to submit your User-Generated Content;
(ii) you are solely responsible for evaluating any User-Generated Content available on the Platform; and
(iii) Serenity Vet makes no guarantees regarding the accuracy, integrity, or quality of User-Generated Content.
By using the Platform, you assume full responsibility for any losses or liabilities resulting from User-Generated Content, and agree to indemnify and hold Serenity Vet harmless from any claim arising from your User-Generated Content.
Serenity Vet may remove, redact, or edit any User-Generated Content, including reviews, but this right does not impose any responsibility on Serenity Vet for the content or accuracy of User-Generated Content.
Ownership of Your User-Generated Content. Serenity Vet does not claim ownership of any User-Generated Content you submit (“Your User-Generated Content”). By submitting Your User-Generated Content, you grant Serenity Vet a worldwide, fully-paid, royalty-free, irrevocable, transferable, and fully sublicensable, non-exclusive licence to use, copy, reproduce, distribute, publish, modify, adapt, create derivative works from, publicly perform, publicly display, and otherwise exploit Your User-Generated Content in any manner, consistent with the Privacy Policy.
13. Browser Configuration and Software Components
The Platform may be accessed via a mobile website, and you may be required to configure your browser to accept cookies. See the Privacy Policy for details on cookies.
Serenity Vet may make available mobile applications or other downloadable software components (“Software Components”) as part of the Platform. Your use of any Software Component is governed by the end user licence provided with that Software Component. If no end user licence is provided, Serenity Vet grants you a personal, non-transferable, non-exclusive licence to use the Software Component in object code form on your personal device, subject to the following:
- You will not duplicate, reproduce, alter, modify, reverse engineer, reverse assemble, or attempt to discover the source code (or underlying algorithms or structure) of the Software Component.
- You will not sell, assign, sublicense, grant a security interest in, or otherwise transfer any rights to the Software Component.
- You will not alter, modify, or use any modified version of the Software Component to obtain unauthorized access to the Platform or Services.
You acknowledge that the Software Component may automatically download and install updates. You may have the option to adjust automatic downloads through your device settings.
14. Third-Party Services and Content
The Services may be made available or accessed in connection with third-party services and content (including advertising) that Serenity Vet does not control. Different terms and privacy policies may apply. Serenity Vet does not endorse and is not responsible for any third-party product or service.
Without limiting the foregoing, if you download any Software Component from a third-party app platform (e.g., Apple App Store, Google Play, Microsoft Store) (each an “App Platform Provider”):
(i) this Agreement is between you and Serenity Vet, not the App Platform Provider. As between Serenity Vet and the App Platform Provider, Serenity Vet is solely responsible for the Software Component and all other aspects of the Platform. The App Platform Provider has no obligation to provide maintenance or support.
(ii) the App Platform Provider and its subsidiaries are third-party beneficiaries of this Agreement with respect to your licence of the Software Component and may enforce this Agreement as it pertains to your use of the Software Component.
15. Conduct on the Platform
As a condition of your use of the Platform and Services, you agree to the following rules of conduct:
- Compliance with Laws. You will comply with this Agreement and all applicable laws.
- Account and Password Security. You will not share your password, transfer, or sell your account or password. You will not use another person’s password or account.
- Non-Discrimination. You will not use the Platform or Services to discriminate against anyone on any ground protected by the Human Rights Act (New Brunswick), the Canadian Human Rights Act, or any other applicable human rights or anti-discrimination legislation.
- No Harassment or Abuse. You will not harass, threaten, or abuse others while using the Platform. You will not transmit any content that Serenity Vet deems unlawful, harmful, fraudulent, defamatory, vulgar, obscene, harassing, or otherwise objectionable.
- Respect for Intellectual Property. You will not post or transmit content that violates any third party’s intellectual property or privacy rights.
- No Harmful Code. You will not upload or transmit any virus, malware, or harmful code.
- No Impersonation or Misrepresentation. You will not impersonate others or misrepresent your affiliation with any person or entity, including Serenity Vet.
- No Disruption of Communications. You will not disrupt the normal flow of communication on the Platform.
- No Identity Manipulation. You will not manipulate the Platform to hide your identity or disguise the origin of any transmitted content.
- No Unauthorized Access or Data Extraction. Without prior written authorization from Serenity Vet, you will not “frame” or “mirror” any part of the Platform, use meta tags or other code referencing Serenity Vet, or use any manual or automated device (such as robots or spiders) to access, extract, or index the Platform.
- No Interference with Platform Operation. You will not use any software or device to interfere with or disrupt the Platform.
- No Reverse Engineering. You will not reverse engineer, decompile, or disassemble any part of the Platform or its software. You will not rent, lease, sell, redistribute, or sublicense the Platform.
- Compliance with All Laws. You will comply with all applicable municipal, provincial, federal, and international laws, including all applicable securities laws and regulations.
- No Unsolicited Communications. You will not send unsolicited advertising, promotional materials, or bulk communications (e.g., “spam,” junk mail, or chain letters) through the Platform. You will comply with Canada’s Anti-Spam Legislation (“CASL”) and all analogous laws in other jurisdictions.
- Prohibition on Assisting Violations. You will not assist or encourage others in the restricted activities above.
If you violate these rules or any other part of this Agreement, Serenity Vet may suspend or terminate your account without notice and may, in its sole discretion, remove any content deemed inappropriate.
16. Feedback by Users
Serenity Vet may provide mechanisms for Users to submit feedback, ideas, suggestions, documents, or proposals (“Contributions”). By submitting Contributions, you agree that:
- Licence Grant. You grant Serenity Vet a worldwide, fully-paid, royalty-free, irrevocable, transferable, and fully sublicensable, non-exclusive right and licence to use, copy, reproduce, distribute, publish, modify, adapt, create derivative works from, and otherwise exploit your Contributions in any manner.
- No Compensation. Serenity Vet is under no obligation to compensate you or to maintain the confidentiality of any Contribution.
- Disclosure. Serenity Vet may use or disclose your Contributions in any manner it deems appropriate.
You represent and warrant that your Contributions do not contain confidential or proprietary information of any third party and do not infringe any third party’s intellectual property rights.
17. Intellectual Property Infringement Claims Procedures
If you believe that any content on the Platform infringes your copyright or other intellectual property rights, provide formal notice to Serenity Vet’s designated agent, including:
(i) the electronic or physical signature of the individual authorized to act on behalf of the owner;
(ii) a description of the copyrighted work or intellectual property allegedly infringed;
(iii) a description of the allegedly infringing content and its location on the Platform;
(iv) the physical address, telephone number, and email address of the intellectual property owner;
(v) a statement that the use of the copyrighted work or intellectual property is not authorized by the owner, its agent, or by law; and
(vi) a statement, made under penalty of perjury (or sworn declaration where perjury is not applicable), that the information is accurate and that you are the intellectual property owner or an authorized representative.

Disclaimer. Serenity Vet will not be liable for any intellectual property infringement or misappropriation claim arising from:
(a) modifications to the Platform or Services made by a third party where the infringement would not have occurred but for those modifications;
(b) your failure to use updated or modified access provided by Serenity Vet to avoid infringement;
(c) Serenity Vet’s compliance with designs or specifications provided by you;
(d) Beta Services (or any use of them);
(e) circumstances beyond Serenity Vet’s control; or
(f) your unauthorized use of the Platform or Services.
18. Third-Party Advertisers and Links to Other Resources
Any correspondence or business dealings with, or participation in promotions of, other Users or third parties found through the Platform (including payment and delivery of goods or services and any associated terms) are solely between you and the third party. Serenity Vet is not responsible or liable for any loss or damage arising from those dealings.
Serenity Vet or third parties may provide links to other websites or resources. Serenity Vet is not responsible for the availability of external sites or resources and does not endorse and is not liable for any content, product, advertising, or other material available from third-party sites or resources.
19. Warranty Disclaimers
YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE PLATFORM, SERVICES, AND CONTENT IS AT YOUR SOLE RISK. THE PLATFORM, SERVICES, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERENITY VET EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES AND CONDITIONS OF TITLE, MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, AND NON-INFRINGEMENT.
Without limiting the foregoing, Serenity Vet makes no warranty that:
(i) the Platform, Services, or Content will meet your requirements;
(ii) the Platform, Services, or Content will be uninterrupted, timely, secure, or error-free;
(iii) any results obtained from use of the Platform, Services, or Content will be accurate or reliable;
(iv) the quality of any services, information, or materials obtained through the Platform will meet your expectations; or
(v) any errors in the Platform will be corrected.
Any software or content downloaded through the Platform is downloaded at your own risk, and you are solely responsible for any damage to your device or data loss. Serenity Vet is a passive intermediary between Professionals and Practices, and you are solely responsible for decisions to engage or utilize any Professional or to accept any Practice’s engagement.
Serenity Vet is not responsible for the conduct of any User, online or offline. You are solely responsible for your interactions with other Users and should exercise caution when dealing with others. By using the Platform, you assume all such risks.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT THE SERENITY VET PARTIES SHALL NOT BE LIABLE TO YOU FOR ANY PUNITIVE, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The aggregate liability of the Serenity Vet Parties to you or any third party, under any circumstance, is limited to the greater of CAD $1,000 or the total amount you paid to Serenity Vet in the twelve (12) months preceding the incident giving rise to the liability.
Serenity Vet is not liable for any delay or failure due to events beyond its reasonable control, including acts of God, government actions, floods, fires, wars, pandemics, cyberattacks, or internet service disruptions. Serenity Vet is not responsible for any Veterinary Services or any related acts or omissions by any Professional.
Nothing in this section limits liability that cannot be limited or excluded under applicable law.
21. Indemnity
You agree to indemnify, defend, and hold harmless the Serenity Vet Parties from any claim, loss, damage, liability, cost, or expense, including reasonable legal fees, arising from or related to:
(a) Your User-Generated Content;
(b) your use of the Platform or Services;
(c) use of the Platform or Services by anyone accessing them through your account;
(d) your violation of this Agreement;
(e) claims relating to tax, employment status, workers’ compensation, wage disputes, or other liabilities arising from your use of the Platform; and
(f) your violation of any law or third-party right.
22. Relationship of the Parties
Serenity Vet and Users. The Serenity Vet Platform allows Practices to find Professionals for Veterinary Services. Serenity Vet’s role is limited to facilitating these connections and processing payments. By using the Platform, you acknowledge that your relationship with Serenity Vet is that of independent contracting parties. This Agreement does not create any employment, joint-venture, partnership, or agency relationship between you and Serenity Vet.
Serenity Vet does not supervise or control Users, does not direct or oversee the performance of Veterinary Services, and no User has authority to bind Serenity Vet. Each User retains the sole right to determine when, where, and how to use the Platform and engage in Veterinary Services.
Relationship Between Practices and Professionals. Nothing in this Agreement creates any employment, agency, joint-venture, partnership, or worker relationship between any Practice and any Professional. Each Professional’s contractual counterparty for Shift engagements is Serenity Vet; each Practice’s contractual counterparty for staffing services is Serenity Vet. The issuance of Shift Compensation through the Platform, from a Practice via Serenity Vet to a Professional, is solely for the convenience of the Users and is not intended to, and does not, create any employment or agency relationship between the Practice and the Professional. No Practice shall be deemed to hire or employ, and no Professional shall be deemed an employee, agent, or worker of, any Practice by virtue of Veterinary Services performed on a contract basis through the Platform.
23. Notice and Communications
Serenity Vet may provide notices to you via email, regular mail, SMS, or postings on the Platform. Notices will be deemed valid if sent to the contact information you have provided, and failure to update that information does not affect the validity of the notice.
You consent to receive communications from Serenity Vet by email, text message, telephone call, and push notification. These may include operational updates, promotional messages, and news. Standard messaging rates may apply. You may withdraw consent for promotional communications at any time as described in Section 26; you may still receive transactional communications necessary to service your account.

24. General Terms
This Agreement constitutes the entire agreement between you and Serenity Vet regarding the use of the Platform and Services and supersedes all prior agreements, discussions, or representations. Headings are for convenience only and do not affect interpretation. Common nouns and pronouns include the masculine, feminine, singular, and plural as context requires. “Include” and “including” are illustrative and not limiting.
Serenity Vet may assign its rights under this Agreement at any time. You may not assign your rights without Serenity Vet’s prior written consent.
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
Governing Law and Forum. This Agreement is governed by and construed in accordance with the laws of the Province of New Brunswick and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Subject to Section 7 (Dispute Resolution and Arbitration), the parties attorn to the exclusive jurisdiction of the courts of the Province of New Brunswick sitting in Saint John.
25. Payment Processing
Payment processing services on Serenity Vet are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these terms on Serenity Vet, you agree to be bound by the Stripe Services Agreement, as modified by Stripe from time to time. As a condition of Serenity Vet enabling payment processing services through Stripe, you agree to provide Serenity Vet with accurate and complete information about you and your business, and you authorize Serenity Vet to share it and related transaction information.
26. SMS and Electronic Communications (CASL Compliance)
By creating an account with Serenity Vet, you consent to receive SMS text messages and other electronic communications from Serenity Vet regarding account notifications, scheduling, Shift updates, and other service-related information. Message frequency may vary. Standard message and data rates may apply.
Opt-In Consent. Your consent to receive SMS messages is obtained at the time of account creation when you agree to these Terms and Conditions and explicitly confirm by checking the consent box. This constitutes express consent under Canada’s Anti-Spam Legislation (“CASL”) and any applicable analogous law.
Opt-Out. You may withdraw consent to receive commercial electronic messages at any time by (a) replying STOP to any SMS message, or (b) using the unsubscribe mechanism in any commercial email from Serenity Vet. After opting out, you may still receive transactional messages necessary to service your account. To resubscribe, reply START.
INDEPENDENT CONTRACTOR AGREEMENT (Veterinarians)
This Independent Contractor Agreement (the “ICA”) is entered into as of the Effective Date, by and between Serenity Vet Inc., a Canadian corporation with its principal office at 40 Charlotte Street, Saint John, New Brunswick, Canada (“Serenity Vet”), and you, the veterinarian (“Veterinarian”). The ICA supplements and is incorporated into the Terms and Conditions above.
Recitals
WHEREAS, Serenity Vet operates a platform that connects veterinary professionals with clinics and hospitals (“Practices”) in need of relief services;
WHEREAS, Veterinarian is duly licensed and qualified to provide veterinary medical services and desires to do so as an independent contractor of Serenity Vet;
NOW, THEREFORE, in consideration of the mutual promises and covenants in this ICA, the parties agree as follows.
1. Engagement of Veterinarian
Serenity Vet will refer Veterinarian to third-party veterinary Practices in need of veterinary services. Veterinarian retains the sole right to accept or reject any referral in Veterinarian’s sole discretion.
2. Independent Contractor Relationship
2.1 Status. The parties acknowledge that this ICA does not constitute a partnership or joint venture, that neither party has the right to contract in the name of the other, and that liabilities incurred by one party shall not be assumed by the other. Veterinarian performs Veterinary Services as an independent contractor of Serenity Vet, and not as an employee of Serenity Vet or of any Practice. Veterinarian is not entitled to any employment benefits from Serenity Vet or any Practice, and Serenity Vet will not withhold or remit income tax, employment insurance premiums, Canada Pension Plan contributions, or any other statutory deduction on Veterinarian’s behalf.
2.2 Freedom to Practice Elsewhere. This ICA does not restrict Veterinarian from engaging in other professional activities, including providing veterinary services through any other veterinary staffing platform, marketplace, or intermediary, or directly to Practices.
2.3 Licences and Taxes. Veterinarian is responsible for maintaining all required business and professional licences and for paying all applicable taxes. Veterinarian will provide Serenity Vet with a valid HST/GST registration number for proper accounting (Canada) or applicable tax identification (other jurisdictions).
2.4 Insurance. Veterinarian must maintain appropriate general and professional liability insurance. Proof of coverage must be provided upon request.
2.5 Travel and Expenses. Veterinarian is responsible for all business-related expenses unless otherwise agreed in writing.
3. Certifications
Veterinarian certifies that Veterinarian:
- holds a valid licence to practise veterinary medicine in the province(s) or state(s) of service;
- is in good standing with the applicable veterinary medical association(s) or regulatory body(ies); and
- will immediately report any change in licensure status or any regulatory inquiry.
4. Veterinarian Responsibilities
4.1 Veterinarian agrees to provide Veterinary Services in a professional, ethical, and competent manner. Responsibilities include but are not limited to:
- performing physical examinations, and diagnosing and treating diseases;
- conducting and reviewing diagnostics, including laboratory and imaging tests;
- performing routine and complex surgical procedures (when agreed upon in advance);
- maintaining and documenting comprehensive patient medical and surgical records, preferably before leaving for the day and in any event within 48 hours after service;
- communicating patient status effectively with Practice staff, including transitions to overnight care and referrals;
- complying with all applicable laws, professional guidelines, and Practice protocols;
- keeping all client and Practice information confidential; and
- reporting any change in licensure status, disciplinary inquiry, or restriction immediately to Serenity Vet.
4.2 Veterinarian will maintain a high level of professionalism with clients, including clearly communicating findings, treatment plans, and care options, and responding to client questions or complaints in a timely, respectful manner.
5. Orientation
Practices may provide a brief pre-assignment orientation covering clinical protocols, billing procedures, and practice-specific expectations as needed. Such orientation is limited to matters necessary for the Veterinarian to perform Veterinary Services at the Practice’s facility and does not constitute direction, supervision, or control of the means, manner, sequence, or method by which Veterinarian performs Veterinary Services. Veterinarian retains sole professional judgment over the clinical care of patients.
6. Scheduling and Shifts
Veterinarian will use the Platform to view and apply for available Shifts. Veterinarian may negotiate fees at the time of application. Shifts must be confirmed by both parties. Payment will be made within 5 calendar days of Shift finalization, via direct deposit or e-transfer.
Veterinarian is required to finalize each Shift within 48 hours of completion to request overtime pay if applicable.
7. Cancellation
Either party may cancel a scheduled Shift with 14 days’ notice. In emergencies, both parties agree to provide as much notice as reasonably feasible.
8. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary, financial, and customer information obtained during this ICA. Unauthorized copying, sharing, or use of such information is strictly prohibited.
9. Compensation
Veterinarian will be compensated by a flat hourly rate for contract-basis Veterinary Services performed during a Shift. For the avoidance of doubt, Veterinarian is not compensated as an employee (including on a full-time, part-time, or per diem employment basis), and no Shift constitutes employment of Veterinarian by Serenity Vet or by any Practice. The Practice has the option to offer a production-based bonus, which will be displayed at the time of Shift application. When a production-based bonus is offered, Veterinarian will be paid either the flat rate OR the total production produced, whichever is higher.
10. Non-Solicitation and Veterinarian Freedom
10.1 Non-Solicitation of Serenity Vet Personnel. Veterinarian agrees that, during the term of this ICA and for a period of twelve (12) months following its termination, Veterinarian will not, directly or indirectly, solicit or attempt to solicit for employment or engagement any employee, contractor, or agent of Serenity Vet with whom Veterinarian had material contact during the course of this ICA, without the prior written consent of Serenity Vet. This restriction does not apply to general employment advertisements not specifically directed at Serenity Vet’s personnel.
10.2 No Restrictive Covenant Against Veterinarian. Serenity Vet does not require Veterinarian to sign a non-compete, non-solicitation, non-circumvention, or exclusivity clause with respect to any Practice, client, patient, or other veterinary business. Veterinarian is free to:
(a) accept engagements through other veterinary staffing marketplace platforms, whether concurrently with or after using the Serenity Vet Platform;
(b) accept employment (whether on a full-time, part-time, or per diem basis) with any Practice, including a Practice with whom Veterinarian was matched through the Platform;
(c) enter into direct contract-basis engagements with any Practice on any terms Veterinarian and the Practice agree, including engagements with Practices with whom Veterinarian was matched through the Platform; and
(d) continue any relationship with any Practice, client, or patient through any channel Veterinarian chooses, on any basis Veterinarian chooses.
For greater certainty, no placement fee, conversion fee, non-circumvention fee, or restriction of any kind is imposed on Veterinarian by Serenity Vet in respect of Veterinarian’s engagement with any Practice, employment by any Practice, or continued professional relationship with any Practice. Veterinarian retains full professional autonomy and full freedom to conduct Veterinarian’s business as Veterinarian sees fit.
10.3 Interaction with Hospital Agreement Section 12. Veterinarian acknowledges that the Hospital Agreement between Serenity Vet and each Practice includes a Non-Circumvention of Platform Introductions clause (Hospital Agreement § 12) that applies to the Practice, not to Veterinarian. Any obligation to book a contract-basis engagement through the Platform under Hospital Agreement § 12 rests solely with the Practice. Veterinarian has no obligation under this ICA to police, enforce, or facilitate the Practice’s compliance with Hospital Agreement § 12, and Veterinarian incurs no liability under this ICA if a Practice engages Veterinarian off-Platform in circumstances that may constitute a breach of the Practice’s obligations under the Hospital Agreement.
11. Indemnification
Veterinarian shall indemnify and hold harmless Serenity Vet and its affiliates from any liability or claim arising from Veterinarian’s performance, including malpractice, personal injury, or regulatory violation.
12. Termination
This ICA may be terminated by either party at any time by written notice or account deletion.
13. Miscellaneous
13.1 No Benefits. Veterinarian is not entitled to any employee benefits from Serenity Vet or any Practice.
13.2 Governing Law. This ICA is governed by and construed in accordance with the laws of the province or state where the majority of Veterinary Services are performed. To the extent no majority jurisdiction can be determined, this ICA is governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable therein.
13.3 Entire Agreement. This ICA, together with the Terms and Conditions, contains the entire understanding between the parties. Users will be notified of any changes and may terminate this ICA if they do not agree to them.
HOSPITAL AGREEMENT
This Agreement (the “Hospital Agreement”) is between member hospitals (“Hospital”) and Serenity Vet Inc., a Canadian corporation headquartered at 40 Charlotte Street, Saint John, New Brunswick, Canada (the “Company”). The Hospital Agreement supplements and is incorporated into the Terms and Conditions above.
1. Definitions
“Serenity Vet Platform” — the Company’s digital platform used to connect the Hospital with qualified veterinary professionals (“Professionals”) for the provision of temporary Veterinary Services (“Shifts”).
“Shift Cost” — the total amount agreed upon between the Hospital and the Professional for services performed during a specified Shift, including the Shift Compensation payable to the Professional and any applicable taxes.
“Stripe Fees” — the payment processing fees charged by Stripe, Inc. for financial transactions conducted through the Platform.
2. Services Provided by Serenity Vet
The Company provides a platform that facilitates connections between the Hospital and qualified Professionals for temporary Veterinary Services. The Hospital acknowledges that the Company acts solely as an intermediary and does not directly employ the Professionals or control the manner in which they perform Veterinary Services.
The Hospital further acknowledges and agrees that the Hospital does not hire or employ any Professional as its employee by virtue of engaging that Professional for Shifts through the Serenity Vet Platform, and that no employment, agency, joint-venture, partnership, or worker relationship is created between the Hospital and any Professional by virtue of Veterinary Services performed on a contract basis through the Platform. Each Professional engaged through the Platform performs Veterinary Services as an independent contractor whose contractual counterparty is the Company. Any pre-assignment orientation provided by the Hospital under Section 5 of the Independent Contractor Agreement is limited to clinical protocols, billing procedures, and practice-specific expectations, and does not constitute direction, supervision, or control of the means, manner, sequence, or method of the Professional’s performance of Veterinary Services.
3. Payment and Fees
3.1 Shift Cost. For each Shift performed by a Professional, the Hospital agrees to pay the full Shift Cost to the Company through the Serenity Vet Platform. The Company shall then remit the Shift Cost, less any applicable Service Fee, Stripe Fees, and Third Party Fees, to the Professional as Shift Compensation. For the avoidance of doubt, the Hospital’s payment obligation for Veterinary Services runs to the Company, not to the Professional; the Company is the sole payment counterparty of both the Hospital and the Professional for each Shift.
3.2 Company Fees. In consideration of the services provided by the Company, the Hospital agrees to pay a service fee of twenty percent (20%) of the total Shift Cost (the “Service Fee”). This Service Fee is in addition to the Shift Cost payable to the Company under Section 3.1.
3.3 Stripe Fees. The Hospital agrees to be responsible for any payment processing fees incurred through Stripe, Inc. (the “Stripe Fees”). These fees are in addition to the Shift Cost and the Service Fee and will be charged directly to the Hospital.
3.4 Payment Processing. All payments for Shift Cost, Service Fees, and Stripe Fees will be processed through the Platform using the payment method on file for the Hospital. Payments will be processed promptly following the completion of the Shift and verification of services rendered.
4. Responsibilities of the Hospital
4.1 Payment of Fees. The Hospital agrees to pay the full Shift Cost, the 20% Service Fee, and any Stripe Fees as outlined in Section 3, and to maintain a valid payment method on file with the Platform.
4.2 Vetting of Professionals. While the Platform facilitates the connection between the Hospital and Professionals, the Hospital is responsible for verifying the credentials, qualifications, and background of the Professionals it engages.
4.3 Work Environment. The Hospital agrees to provide a safe and professional working environment for Professionals engaged for Shifts through the Platform.
5. Responsibilities of the Company
5.1 Platform Access. The Company will provide the Hospital with access to the Platform to search for and engage qualified Professionals for temporary Veterinary Services.
5.2 Payment Processing. The Company will process payments for Shifts through the Platform, deduct Service Fees, Stripe Fees, and any applicable Third Party Fees, and transfer the remaining Shift Compensation to the Professional.
5.3 Support. The Company will offer support to both the Hospital and Professionals for any technical issues or questions related to the Platform.
6. Term and Termination
6.1 Term. This Hospital Agreement begins on the date of signing and continues until terminated in accordance with this Agreement.
6.2 Termination. Either party may terminate this Hospital Agreement upon thirty (30) days’ written notice to the other party. Upon termination, the Hospital remains responsible for paying any outstanding Shift Cost, Service Fees, and Stripe Fees for Shifts already completed or confirmed.
7. Limitation of Liability
The Company is not liable for the actions or performance of any Professional engaged through the Platform. The Hospital assumes full responsibility for the selection, vetting, and supervision of Professionals. The Company’s aggregate liability under this Hospital Agreement is limited to the Service Fees collected during the twelve (12) months preceding the claim.
Nothing in this section limits any liability that cannot be limited or excluded under applicable law.
8. Governing Law
This Hospital Agreement is governed by and construed in accordance with the laws of the Province of New Brunswick and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Subject to Section 7 of the Terms and Conditions (Dispute Resolution and Arbitration), the parties attorn to the exclusive jurisdiction of the courts of the Province of New Brunswick sitting in Saint John.
9. Notices
All notices required or permitted under this Hospital Agreement shall be in writing and delivered by email or through the support widget within the Platform.
10. Entire Agreement
This Hospital Agreement, together with the Terms and Conditions, constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior agreements, discussions, or representations.
11. Marketplace Continuity and Non-Restriction of Contract Engagements
11.1 Nothing in this Hospital Agreement restricts the Hospital’s ability to engage, continue engaging, or discontinue engaging any Professional on a contract or Shift basis through the Serenity Vet Platform or through any other veterinary staffing platform, marketplace, or intermediary.
11.2 The Hospital’s continued engagement of a Professional through the Serenity Vet Platform — including a Professional previously engaged through a different veterinary staffing platform, marketplace, or intermediary — does not constitute the Hospital’s hiring or employment of that Professional as an employee (whether on a full-time, part-time, or per diem basis) and does not, by virtue of that engagement alone, place the Professional on the Hospital’s payroll or in the Hospital’s employment.
11.3 Each Professional engaged through the Serenity Vet Platform remains an independent contractor whose contractual counterparty is the Company. The Hospital’s decision to source Veterinary Services through the Platform reflects a purchase of staffing services from the Company, not the hiring of an individual as the Hospital’s employee.
12. Non-Circumvention of Platform Introductions
12.1 Restriction. For a period of twelve (12) months following the Hospital’s most recent Shift with a specific Professional engaged through the Serenity Vet Platform, where that Professional was first introduced to the Hospital through the Platform, the Hospital agrees to book any contract-basis engagement of that Professional through the Platform.
12.2 What Is Not Restricted. For the avoidance of doubt, this Section 12 does not restrict the Hospital from hiring or offering to hire any Professional as the Hospital’s employee (whether on a full-time, part-time, or per diem basis), and no placement fee, conversion fee, or hiring restriction of any kind applies to any such employment arrangement. This Section 12 applies solely to contract-basis engagements of Professionals whose initial introduction to the Hospital was made through the Platform, and does not apply to Professionals with whom the Hospital had a pre-existing relationship prior to that Platform introduction.
12.3 Definition of Platform Introduction. A “Platform Introduction” occurs when the Hospital first becomes aware of a specific Professional’s availability, credentials, or contact information through the Serenity Vet Platform, whether through a Shift confirmation, a search result, a profile view, a direct message through the Platform, or any other Platform-mediated interaction. The Company’s Platform booking and interaction records are conclusive evidence of whether a Platform Introduction occurred and the date of the Hospital’s most recent Shift with a given Professional.
12.4 Remedies. In the event of a breach of Section 12.1, the Hospital agrees to pay the Company, as liquidated damages and not as a penalty, an amount equal to the Service Fee that would have applied had the contract-basis engagement been booked through the Platform, calculated based on the compensation actually paid by the Hospital to the Professional for the off-platform contract-basis engagement. The parties acknowledge that the Company’s actual damages would be difficult to calculate precisely and that this liquidated-damages amount represents a reasonable pre-estimate of the Company’s loss. The Company may seek injunctive relief in addition to liquidated damages where appropriate.
12.5 Notice and Cure. Before invoking Section 12.4, the Company will provide the Hospital with written notice describing the alleged breach and a thirty (30) day period during which the Hospital may (a) rebut the alleged breach with evidence of a pre-existing relationship or independent introduction, (b) retroactively book the engagement through the Platform, or (c) pay the liquidated-damages amount without further dispute.
12.6 Preservation of Marketplace Continuity Principles. Nothing in this Section 12 modifies or limits the acknowledgements in Section 11 (Marketplace Continuity and Non-Restriction of Contract Engagements). This Section 12 is a narrow, channel-specific restriction on contract-basis engagement of Platform-introduced Professionals. It expressly does not restrict, and shall not be construed to restrict, the Hospital’s right to engage Professionals through other marketplace platforms or to convert any Professional to a direct employment relationship on any basis whatsoever.

- Rewritten ICA Section 10 (Non-Solicitation and Veterinarian Freedom) — Section 10.1 preserves the standard non-solicitation of Serenity Vet personnel; new Section 10.2 affirmatively states that no non-compete, non-solicitation, non-circumvention, or exclusivity clause is imposed on Veterinarian; new Section 10.3 clarifies that Hospital Agreement § 12 applies to the Practice only, not to Veterinarian.
Change from v3.0 draft: v3.0 imposed a parallel non-circumvention obligation on Veterinarian (former § 10.2–§ 10.5). v3.1 removes that obligation entirely and replaces it with an affirmative statement of Veterinarian freedom. The asymmetric structure — restriction on the Practice side, freedom on the Veterinarian side — is deliberate and reflects (i) the economic reality that off-platform circumvention benefits the Practice, not the Veterinarian; (ii) Canadian labour-law scrutiny that treats restrictive covenants against individuals more strictly than covenants between businesses; (iii) Serenity Vet’s independent-contractor classification defence, which is strengthened by minimizing employment-like controls on Veterinarians; and (iv) Serenity Vet’s competitive positioning against marketplaces that do not restrict veterinarians.
